EU plans to introduce a unified company form "EU Inc.

The European Commission plans to introduce a new unified corporate legal form called "EU Inc." to significantly simplify the process of company establishment. According to the proposal, businesses across the EU will be able to complete registration entirely digitally within 48 hours for just €100, with no notarization or minimum capital requirements. European Commission President Ursula von der Leyen stated that this initiative aims to advance the goal of "One Europe, One Market."


The new model will implement unified rules from company formation to bankruptcy, lowering barriers for cross-border entrepreneurship and investment, while eliminating the need for investors to navigate different legal systems across member states. This EU move seeks to narrow the gap with the U.S. in terms of business-friendliness. Currently, most global venture capital flows to the U.S., where companies attract about three times more investment than in Europe.


EU leaders will discuss the proposal, and if progress goes smoothly, the first batch of companies could register under this framework by 2028. The new system will operate alongside existing national corporate laws, allowing businesses to choose the applicable regime, though taxation and labor laws will remain under member states' jurisdiction.


Overall, the proposal has received widespread support from business and entrepreneurial organizations, seen as an important measure to reduce bureaucratic burdens and enhance EU market integration. However, some concerns remain that the coexistence of different legal systems may dilute its impact, potentially leading to a "race to the bottom" in regulatory and labor standards.
